Terms of Service

Smart Inventory · Avalon Solutions · Effective September 18, 2026

These Terms of Service ("Terms") govern a merchant's installation and use of Smart Inventory. By installing, accessing, or using Smart Inventory, the merchant agrees to these Terms and the incorporated Data Processing Terms.

1. Service

Smart Inventory helps Shopify merchants track shared physical materials, calculate sellable availability, synchronize inventory, process inventory effects from order lifecycle events, and provide checkout safeguards. Features may change as the service is improved.

2. Merchant responsibilities

The merchant is responsible for maintaining accurate material counts, product mappings, location mappings, Shopify configuration, authorized staff access, and lawful use of the service. Smart Inventory should not be treated as a substitute for physical inventory controls, accounting systems, tax advice, legal advice, or independent business records.

3. Shopify and third-party services

Smart Inventory depends on Shopify APIs and third-party hosting/infrastructure. Changes, outages, limits, or restrictions imposed by Shopify or other providers can affect service availability or functionality. Shopify is not a party to these Terms.

4. Plans and billing

When paid plans are offered, plan selection, recurring charges, trials, upgrades, and downgrades may be administered through Shopify App Pricing. The merchant is responsible for charges approved through Shopify. Current plan limits and features are displayed in the app or applicable Shopify listing.

5. Acceptable use

The merchant may not use Smart Inventory to violate law, interfere with the service, access another merchant's data, defeat security controls, reverse engineer protected service components except where law expressly permits it, or use the service to process data the merchant lacks authority to process.

6. Data and privacy

Smart Inventory's handling of information is described in the Privacy Policy. Processing of merchant customer-related data is also governed by the Data Processing Terms, which are incorporated into these Terms.

7. Availability and changes

Reasonable efforts are made to keep Smart Inventory available and reliable, but the service is provided without a guarantee of uninterrupted or error-free operation. Features may be modified, suspended, or discontinued when reasonably necessary for security, maintenance, legal compliance, or product development.

8. Inventory decisions and merchant review

Inventory calculations depend on merchant-provided stock values, mappings, Shopify data, and platform behavior. Merchants should review inventory and reconciliation results and promptly investigate discrepancies. Smart Inventory includes safeguards but cannot eliminate every possible race condition, third-party failure, or incorrect source value.

9. Disclaimer

To the maximum extent permitted by applicable law, Smart Inventory is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, or non-infringement, except to the extent such warranties cannot legally be excluded.

10. Limitation of liability

To the maximum extent permitted by law, Avalon Solutions will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or business opportunities arising from use of Smart Inventory. Any aggregate liability that cannot legally be excluded will be limited to the amount paid by the merchant for Smart Inventory during the six months preceding the event giving rise to the claim, or USD $100 if the merchant used only a free plan.

11. Termination

The merchant may stop using Smart Inventory by uninstalling it. Access may be suspended or terminated for material breach, unlawful use, security risk, nonpayment of applicable charges, or where required by Shopify or law. Data handling after uninstall follows the Privacy Policy and Data Processing Terms.

12. Changes to these Terms

These Terms may be updated from time to time. Material changes will be reflected by an updated effective date and, where appropriate, merchant notice. Continued use after an effective update constitutes acceptance to the extent permitted by law.
